The date of receipt by the customer is not taken into account in determining the due date of the invoice. Our invoices are payable by bank transfer or bill of exchange not subject to acceptance. All payments are to be made in full at the time of order or in full before delivery, unless otherwise agreed in writing by both parties. No discount for early payment is granted. Any change in the terms of payment must be approved by us in advance. Except in the case of exceptional postponement granted by us, failure to pay for our goods on the due date will result in a fixed indemnity of 40€ and, after formal notice, the payment of late penalties set at three times the French legal interest rate. In addition, the non-payment by the buyer of any sum due shall automatically and without notice of default, if the seller so wishes, result in the cancellation, to the buyer’s detriment, of the sale of any goods delivered in execution of any contract and not yet paid, as well as the cancella tion of all outstanding orders, without prejudice to any other remedy. Costs and fees of any kind for the judicial or extrajudicial collection of our claims shall be borne exclusively by the debtor. Claims In the event of a dispute, the courts of jurisdiction of the registered office will be competent, even in the event of third parties being forcibly impleaded, or there being multiple defendants, namely the Commercial Court (“Tribunal de commerce”) of ALENÇON and this BY FORMAL WAIVER OF ARTICLE 48 OF THE NEW CIVIL PROCEDURE CODE; commercial courts located in France and only French law will be applied.
